These Terms & Conditions (“Terms”) govern access to and use of the website operated by ABWAB Holdings LLC (“ABWAB”, “we”, “us” or “our”), including all content, information, materials, features and services made available through the website (the “Website”).

By accessing or using the Website, you acknowledge that you have read, understood and agreed to these Terms. If you do not agree, you should not access or use the Website.

1. About the Website

The Website provides information about ABWAB, its activities, ecosystem, strategic initiatives, business relationships, sectors of interest, projects, partnerships and related matters. It is intended primarily for general corporate, informational and business purposes.

References on the Website to blockchain, tokenization, digital assets, real-world assets (RWA), security token offerings (STO), Web3 or related technologies are provided solely in the context of innovation, technology and strategic business applications. Nothing on the Website should be construed as an offer, solicitation or recommendation relating to any digital asset or virtual asset. Regulated activities, where applicable, are undertaken only through appropriately licensed entities.

8. Securities and Investment Products Disclaimer

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.

To the extent permitted by applicable law, you agree to indemnify and hold harmless ABWAB, its shareholders, directors, officers, employees, affiliates and representatives from claims, liabilities, losses, damages, costs and expenses arising from your unlawful or unauthorised use of the Website; breach of these Terms; infringement of ABWAB’s or a third party’s intellectual property rights; or violation of applicable law or the rights of another person.

ABWAB shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, civil unrest, government action, internet or telecommunications failure, or other events of force majeure.

ABWAB may revise these Terms from time to time to reflect changes in its business, Website, services, technology or applicable legal and regulatory requirements. 23. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any dispute arising out of or in connection with these Terms shall be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under its arbitration rules in force at the time of the dispute, seated in Dubai, United Arab Emirates. Proceedings shall be conducted in the English language before one arbitrator, unless the parties agree otherwise or DIAC rules require a different composition based on the value or complexity of the dispute.

Nothing in these Terms prevents ABWAB from seeking urgent or interim relief from any court of competent jurisdiction where necessary to protect its rights or interests.

24. No Waiver

If ABWAB does not immediately enforce any provision of these Terms, this does not constitute a waiver of its right to enforce that provision, or any other provision, in the future.

25. Severability

If any provision of these Terms is determined by a competent authority to be invalid, unlawful or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable, where possible. The remaining provisions shall continue in full force and effect.

26. Assignment

ABWAB may assign or transfer its rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without ABWAB’s prior written consent.

27. Entire Understanding

These Terms, together with the Privacy Policy, Cookie Policy and any other policies expressly incorporated into them, constitute the terms governing general use of the Website. They do not replace or override any separate written agreement between ABWAB and another party. Where a separate written agreement applies to a particular transaction, service or relationship, that agreement shall govern to the extent of any inconsistency.
